Terms of Service

Acceptance of Terms

By accessing or using the Onpane service, including our website, dashboard, API, and embeddable widget (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Onpane ("we", "us", or "our"), governing your use of the Service.

Description of Service

Onpane provides a software-as-a-service ("SaaS") platform that enables website owners to add professional, dismissable announcement bars to their websites. The Service includes, but is not limited to:

  • A web-based dashboard for creating and managing announcements
  • An API for programmatic access to announcement management
  • An embeddable widget for displaying announcements on third-party websites

The features, functionality, and availability of the Service are subject to change at our sole discretion. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

Account Registration

To use certain features of the Service, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information during the registration process
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized access to or use of your account
  • Accept responsibility for all activities that occur under your account

Each account is intended for use by a single individual. You may not share your account credentials with any other person or permit any other person to access the Service using your account.

You must be at least 16 years of age to create an account and use the Service. By registering for an account, you represent and warrant that you meet this age requirement.

Free and Paid Plans

Onpane offers both a free tier and paid subscription plans:

  • Free Tier: Provides limited access to the Service with restricted features and usage limits as described on our pricing page. The free tier is provided at no cost and may be modified or discontinued at our discretion.
  • Paid Subscription ($5/month): Unlocks the full feature set of the Service, including expanded usage limits and additional capabilities as described on our pricing page. Paid subscriptions are billed on a monthly recurring basis.

The specific features and limits associated with each plan are detailed on our pricing page and are subject to change. We will provide reasonable notice of any material changes to plan features or pricing.

Billing and Payments

Paid subscriptions are billed monthly through a third-party payment processor. By subscribing to a paid plan, you agree to the following:

  • Charges will commence at the time of subscription and will recur on a monthly basis until cancelled
  • You are responsible for keeping your payment method current and valid
  • If your payment method fails or your account is past due, we may restrict access to paid features until payment is resolved
  • Applicable taxes may be added to your subscription fee based on your jurisdiction and applicable tax laws

All payment processing is handled by a third-party payment processor. We do not store your full payment card details on our servers. Your use of the payment processor is subject to their own terms of service and privacy policy.

Cancellation and Refunds

You may cancel your paid subscription at any time from your account settings. Upon cancellation:

  • Cancellation will take effect at the end of your current billing period
  • You will retain access to paid features until the end of the billing period for which you have already paid
  • After the billing period ends, your account will revert to the free tier
  • No prorated refunds will be issued for partial billing periods

If you choose to delete your account entirely, all associated data — including announcements, configurations, and account information — will be permanently removed from our systems. Account deletion is irreversible.

Acceptable Use

You agree not to use the Service for any purpose that is prohibited by these Terms or applicable law. You must not:

  • Use the Service for any illegal, fraudulent, or unauthorized purpose
  • Distribute malware, viruses, or any other harmful software through the Service
  • Infringe upon or violate the intellectual property rights of Onpane or any third party
  • Use the Service to send unsolicited communications, spam, or misleading content
  • Attempt to circumvent, disable, or otherwise interfere with the security features of the Service
  • Scrape, crawl, or reverse-engineer any part of the Service without prior written consent
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure

Onpane reserves the right to investigate and take appropriate action against any User who, in our sole discretion, violates these Terms. Such action may include suspending or terminating the offending account, removing offending content, and reporting the User to law enforcement authorities.

Intellectual Property

The Service, including all software, code, design, text, graphics, logos, and other materials (collectively, "Onpane Content"), is owned by or licensed to Onpane and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Onpane Content without our prior written consent.

You retain ownership of all content that you create, upload, or configure through the Service, including announcement text, images, and configuration settings ("User Content"). By using the Service, you grant Onpane a limited, non-exclusive, royalty-free, worldwide license to host, store, display, and transmit your User Content solely as necessary to provide and operate the Service.

User Content

You are solely responsible for all content displayed through the Service via your announcements. Your User Content must not:

  • Contain illegal, defamatory, obscene, or otherwise objectionable material
  • Infringe upon the intellectual property or other proprietary rights of any third party
  • Contain false, misleading, or deceptive statements or claims
  • Violate any applicable laws, regulations, or industry standards

Onpane reserves the right to review, remove, or disable access to any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We are not obligated to monitor User Content but may do so at our discretion.

Service Availability and Modifications

The Service is provided on an "as is" and "as available" basis. While we strive to maintain high availability, we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.

Onpane may modify, update, suspend, or discontinue any feature or functionality of the Service at any time. We will provide reasonable notice of material changes through the Service or via email. Scheduled maintenance may result in temporary unavailability of the Service.

We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service or any part thereof.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Onpane, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of, or inability to access or use, the Service
  • Any conduct or content of any third party on or related to the Service
  • Any content obtained from the Service or displayed through the Service
  • Unauthorized access, use, or alteration of your transmissions or content

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to Onpane in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations set forth above shall apply to the fullest extent permitted by applicable law.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, Onpane disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your requirements, be available on an uninterrupted, timely, secure, or error-free basis, or that any defects in the Service will be corrected. No advice or information, whether oral or written, obtained from Onpane or through the Service shall create any warranty not expressly stated in these Terms.

Indemnification

You agree to defend, indemnify, and hold harmless Onpane, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to reasonable legal fees) arising from: (a) your use of and access to the Service; (b) your violation of any provision of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property right, privacy right, or proprietary right; or (d) any claim that your User Content caused damage to a third party. This indemnification obligation shall survive the termination of these Terms and your use of the Service.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Finland.

Notwithstanding the foregoing, consumers residing in the European Union retain all rights afforded to them under the mandatory consumer protection laws of their country of residence. Nothing in these Terms shall affect the statutory rights of consumers under applicable local law that cannot be waived or limited by contract.

Changes to Terms

Onpane reserves the right to modify or replace these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Service and, where practicable, by sending a notification to the email address associated with your account.

Material changes to these Terms will become effective thirty (30) days after notice is provided. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue your use of the Service prior to the effective date of the changes.

Severability

If any provision of these Terms is held to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, enforceable, and consistent with the intent of the original provision.
